本利用規約の改定は2025年09月01日から効力を生じます。
UMUへようこそ
UMU製品とサービス（以下、UMU製品とサービスを総称して「当サービス」といいます。）をご利用頂きありがとうございます。当サービスはユームテクノロジージャパン株式会社(以下「当社」といいます)所在地東京都新宿区新宿4-1-6 JR新宿ミライナタワー 18階。
当社の本サービスをご利用になる場合は、本利用規約の全ての条項にご同意いただいたものとみなされますので、内容を慎重にご確認ください。
本サービスのご利用について
お客様は本サービスのご利用にあたり、本サービスに関する全てのポリシーを遵守する必要があります。これらのポリシーに違反した場合、当社は本サービスにおける該当機能の使用を停止させていただく場合があります。
本サービスの不適切な使用が確認された場合、当社は本サービスの提供を停止いたします。不適切な使用には、本サービスの運営を妨害する行為、または当社が正式に提供するインターフェース及び使用方法以外での本サービスへのアクセスの試みを含みます。お客様は、出力及び再出力に関する法令や規制を含む、適用される全ての法令の範囲内でのみ本サービスをご利用いただけます。当社の利用規約若しくはポリシーへの違反、または不正行為の合理的な疑いがある場合、当社は本サービスの提供を一時的若しくは永続的に停止する場合があります。
本サービスの利用により、本サービスに関する知的財産権がお客様に移転されることはありません。当社からの明示的な許可を得た場合、または法令で認められる場合を除き、本サービスを使用することはできません。本利用規約は、本サービスにおける当社の商標及びロゴの使用権を付与するものではありません。本サービス内又は本サービスに付随する法的通知の削除、隠蔽、若しくは改変を行うことを禁止します。
本サービスにはUMU以外の第三者のコンテンツが表示される場合があります。当該コンテンツについては、これを提供した主体が一切の責任を負うものとします。当社は、コンテンツを審査し、その適法性及び当社ポリシーとの適合性を判断する権利を有し、当社の合理的な判断により、法令又は当社ポリシーに違反すると認められるコンテンツを削除又は表示拒否する場合があります。ただし、当社は全てのコンテンツを審査する義務を負うものではありません。
お客様の本サービスのご利用に関連して、当社は本サービスに関する告知、管理上の通知その他の情報を送信する場合があります。お客様は、これらの通知の一部について受信を停止することができます。
本サービスは、携帯電話等のモバイル端末でご利用いただけます。ただし、交通安全関連法規その他の適用法令に違反する態様で本サービスを使用することを禁止します。
お客様のUMUアカウントについて
特定の本サービスのご利用にあたっては、UMUアカウントが必要となる場合があります。UMUアカウントは、お客様自身で作成するか、雇用主若しくはシステム管理者等から付与されることがあります。管理者から付与されたUMUアカウントをご使用の場合、本規約が適用されるとともに、当該管理者はお客様のアカウントへのアクセス権限及びアカウントの有効化又は無効化の権限を有するものとします。
お客様のUMUアカウントの安全性を確保するため、パスワードの適切な管理をお願いいたします。UMUアカウント内又はUMUアカウントを通じて行われた一切の活動について、お客様が責任を負うものとします。セキュリティ確保のため、UMUアカウントのパスワードを他のサービスで使用しないことを強く推奨します。お客様のパスワード又はUMUアカウントの不正使用が疑われる場合は、直ちにパスワードを変更していただくようお願いいたします。
生成AI（人工知能）サービス
UMUが提供する生成AI（人工知能）サービスは、UMUサービスの一部であり、AI大規模言語モデルに基づく意味理解およびコンテンツ生成サービスを指します。これには、AIツール、チャットボット（Chatbot）、および「AI」「インテリジェンス」等に関連するUMUの他の機能・サービスが含まれますが、これらに限定されるものではありません。
利用者は、UMUの生成AI（人工知能）サービスを利用するにあたり、提供するコンテンツや入力プロンプト等が、利用者自身が知的財産権を保有するか、または正当な権利者から適法に許諾を得たものであることを保証するものとします。また、適用される法令に違反せず、他者の正当な権利（著作権、特許権、商標権等の知的財産権およびその他の権益を含みますが、これらに限りません）を侵害せず、公序良俗に反する内容を含まないこと、ならびに当該生成AI（人工知能）サービスにより、他者の権利を侵害したり、公序良俗に反するコンテンツを生成させたりしないよう、十分に配慮するものとします。
利用者は、UMUの生成AI（人工知能）サービスを利用するにあたり、適用される法令を遵守し、違法、公序良俗に反する、不適切、または他者の正当な権利を侵害する行為、もしくは本規約に違反する行為に本サービスを利用しないことを約束するものとします。また、本規約に違反する内容を公開、入力、出力、配信せず、本サービスを利用して虚偽のニュースやその他の虚偽情報を作成・複製・公開・配信しないものとします。
UMUは、違反が疑われる状況において、当該コンテンツの生成停止、配信停止、ブロック、削除を行う権利を有し、さらに、警告の発出、一部またはすべての機能の利用制限・禁止、アカウントの停止または削除等の措置を講じることができ、関連記録を保存し、関係当局へ報告する権利も有します。
利用者が、UMUの生成AI（人工知能）サービスまたはその出力結果を編集・加工した情報コンテンツを第三者に提供、公表、配信する場合において、法令により表示義務が課される場合には、利用者自身が適用法に従った表示義務を適切に履行する責任を負うものとします。
UMUは、適用される法令を遵守し、社会倫理および道徳を尊重しつつ、出力コンテンツの正確性および信頼性の向上に努めていますが、AI大規模言語モデルによる生成コンテンツの性質上、入力情報に基づく出力結果がUMUの意見や見解を示すものではないことを、利用者は理解するものとします。
利用者は、出力コンテンツに対して必要な審査および判断を行い、自身のアカウント下におけるすべての行為およびコンテンツについて責任を負うものとします。UMUは、出力されたコンテンツに対していかなる権利も主張せず、また責任も負いません。さらに、利用者による本サービスの利用、出力コンテンツの使用、または本規約違反に起因するいかなる損害・損失についても責任を負わないものとします。利用者は、出力コンテンツの不正確性や不適合性等について、UMUに対して一切の責任を問わないことに同意するものとします。
利用者は、出力コンテンツがあくまで参考情報であり、専門的助言や商業利用、その他の目的に利用すべきでないことを理解し、同意するものとします。特に、法律、医療、金融、保険など、利用者または関係者に重大な影響を及ぼす可能性のある場面では、関係する権威ある機関への相談を強く推奨します。
出力コンテンツに基づき利用者が行った判断またはその後の関連行為によって生じた一切の結果および責任は、出力コンテンツの合法性、正確性、完全性、機能性、非侵害性または特定目的への適合性に対する依存から生じたリスクを含め、すべて利用者自身が負うものとします。
プライバシー及び著作権保護について
当社のプライバシーポリシーは、お客様による本サービスの利用に際しての個人情報の取扱い及びプライバシー保護について定めています。本サービスをご利用いただくことにより、お客様は当社がプライバシーポリシーに従ってデータを取り扱うことに同意したものとみなされます。
当社は、米国デジタルミレニアム著作権法に規定される手続に基づき、著作権侵害の申立てに対応し、反復的な著作権侵害が認められるアカウントの利用を停止する場合があります。
お客様の著作権が侵害されていると判断される場合は、support@umu.co までご連絡ください。当社は、申立ての内容を慎重に確認し、当該コンテンツのブロック、削除又はアクセス制限等の適切な措置を検討いたします。
本サービスにおけるお客様のコンテンツについて
お客様は、特定の本サービスにおいて、コンテンツのアップロード、提出、保存、送信又は受信を行うことができます。当該コンテンツに関する知的財産権の所有権は、引き続きお客様に帰属するものとします。
当社のシステムは、パーソナライズされた検索結果、推奨コンテンツ、スパム検知等のサービス提供のため、お客様のコンテンツを分析します。この分析は、コンテンツの送受信又は保存時に実施されます。
お客様のコンテンツの使用及び保存に関する詳細については、プライバシーポリシーをご参照ください。なお、本サービスに関してお客様から提供されたフィードバック及び提案について、当社はお客様に対する何らの義務を負うことなく、これらを利用することができるものとします。
サービス料金
本サービスで提供される無料トライアルまたは無料機能およびサービスは、UMU社が将来的に料金を請求する権利を放棄したものとみなされません。UMU社は、UMU公式ウェブサイトおよび/または特定のUMUサービスアプリケーション内で、料金基準および支払方法について7日前までに告知する権利を有します。関連するUMUサービスの利用を継続する場合、UMU社が公表する料金基準に従って相応の料金を支払う必要があります。
UMUは、実際の状況に応じて7日前までに料金基準および支払方法を調整する権利を有し、お客様の事前の同意を得ることなく、告知形式でお知らせします。調整後の料金にご同意いただけない場合は、直ちにサービスの利用を中止してください。利用を継続した場合、お客様が同意したものとみなされ、新しい基準に従って料金を支払う必要があります。
本サービスの利用に伴うインターネット料金、および第三者が請求する通信料、情報料などの費用は、お客様が負担するものとします。
UMUとお客様との間で別途書面による合意がない限り、UMUが請求するサービス料金は、お客様の実際の利用量ではなく、購入したサービスまたはコンテンツに基づいています。お客様は適時に支払義務を履行する必要があり、この支払義務は取り消すことができません。サービスまたはコンテンツが開通した後、お客様が支払った料金は返金されません。また、該当する購読期間中に購入したサービスまたはコンテンツの数量を減らしたり、解約したりすることはできません。
本サービスのソフトウェアについて
本サービスの新バージョン又は新機能が利用可能となった場合、お客様のデバイスにおいて自動的にアップデートが実施されます。一部の本サービスでは、お客様自身で自動アップデートの設定を変更することが可能です。
本サービスには、オープンソースソフトウェアが含まれる場合があります。本サービスで使用される一部のソフトウェアは、お客様が利用可能なオープンソースライセンスに基づいて提供されており、当該ライセンスには本利用規約の特定の条項に優先して適用される規定が含まれる場合があります。
本サービスの変更及び終了について
当社は、本サービスの継続的な改善及び変更を行っております。これには、機能若しくは特徴の追加若しくは削除、又は本サービスの一時的若しくは永続的な提供停止を含みます。
お客様は、任意の時点で本サービスの利用を終了することができます。また、当社は、お客様への本サービスの提供を停止し、又は本サービスに新たな制限若しくは条件を設定する権利を有します。
当社は、お客様のデータの所有権及びアクセス可能性を重要視しております。本サービスの提供を終了する場合、当社は、緊急の場合を除き、事前通知を行うとともに、当該サービスからお客様の情報を抽出する機会を提供いたします。
保証及び免責事項について
当社は、高度な技術及び管理体制のもと本サービスを提供し、お客様にご活用いただけるよう努めております。ただし、本サービスに関して、一定の保証を提供できない場合がございます。
本利用規約及び追加規約に明示的に規定される場合を除き、当社は本サービスに関していかなる保証も行いません。これには、本サービス内のコンテンツ、特定の機能、信頼性、可用性、又はお客様のニーズへの適合性に関する一切の保証を含みます。本サービスは「現状有姿」で提供されます。
法令により認められる最大限の範囲において、当社は全ての保証から免責されるものとします。
本サービスに関する責任について
法令により認められる最大限の範囲において、当社は、逸失利益、逸失収入、データの喪失、その他の経済的損失、並びに間接的、特別、付随的、派生的又は懲罰的損害に関する一切の責任を負わないものとします。
法令により認められる最大限の範囲において、黙示的保証を含む本利用規約に基づく全ての請求に対する当社の責任総額は、お客様が本サービスの利用のために支払った金額を上限とします（又は、当社の選択により、本サービスの再提供に限定されます）。
いかなる場合においても、当社は、合理的に予見不可能な損失又は損害について責任を負わないものとします。
本サービスの商業利用について
お客様が事業体を代表して本サービスを利用する場合、当該事業体は本利用規約に同意したものとみなされます。当該事業体は、本サービスの利用又は本利用規約への違反に起因若しくは関連して発生するあらゆる請求、訴訟又は法的手続（一切の請求、損失、損害、判決、訴訟費用及び弁護士費用に起因する責任又は費用を含みます）から、当社並びにその役員、代理人及び従業員を防御し、補償し、免責するものとします。
本利用規約について
当社は、法令の改正又は本サービスの変更等を反映するため、本利用規約及び追加規約を随時変更することができます。お客様には定期的に本規約をご確認いただくようお願いいたします。
本利用規約の変更は本ページに、追加規約の変更は該当する本サービス内に、それぞれ掲載されます。これらの変更は遡及して適用されることはなく、掲載から14日後に効力を生じるものとします。ただし、本サービスの新機能に関する変更及び法令上の要請に基づく変更については、直ちに効力を生じるものとします。変更後の規約にご同意いただけない場合、お客様は該当する本サービスの利用を中止する必要があります。
本利用規約と追加規約との間に矛盾が生じた場合、当該矛盾については追加規約が優先して適用されます。
本利用規約は、当社とお客様との間の法的拘束力のある合意を構成し、いかなる第三者の権利も発生させないものとします。
当社が本利用規約に基づく権利を直ちに行使しない場合であっても、当該権利（将来的な法的措置を含みます）を放棄したものとはみなされません。
本利用規約のいずれかの条項が無効とされた場合でも、残りの条項の有効性には影響を及ぼさないものとします。
準拠法及び裁判管轄
本利用規約は日本法に準拠し、日本法に従って解釈されるものとします。当社とお客様との間の紛争が協議により解決されない場合、訴額に応じて東京地方裁判所又は東京簡易裁判所を第一審の専属的合意管轄裁判所とすることに、両当事者は合意するものとします。

Revisions to these Terms of Service are effective as of September 1, 2025.
Welcome to UMU
Thank you for using UMU products and services (collectively, the "Services"). The Services are provided by UMU Technology Japan Co. (hereinafter referred to as "UMU," "we," "us," or "our"), located at 18F JR SHINJUKU MIRAINA TOWER, 4-1-6, Shinjuku, Shinjuku-ku, Tokyo, Japan.
By using our Services, you acknowledge and agree to be bound by these Terms of Service, so please read them carefully.
Use of Our Service
Your use of the Services requires compliance with all applicable policies within the Services. Failure to comply may result in the restriction or termination of your access to the corresponding features.
We reserve the right to terminate your access to the Services if we detect any misuse. Misuse includes, but is not limited to, interfering with our Services or attempting to access them through means other than the interface or methods provided by us. You may only use our Services in compliance with applicable laws, including export and re-export control laws and regulations. We may suspend or terminate your access to the Services if you violate our terms and policies or if we reasonably suspect fraudulent activity.
Use of our Services does not confer any intellectual property rights in the Services to you. You may not use our Services except as expressly authorized by us or as permitted by law. These Terms of Service do not grant you any rights to use our trademarks, logos, or other brand elements displayed in our Services. You must not remove, obscure, or alter any legal notices displayed in or in connection with our Services.
Our Services may display content from third parties not affiliated with UMU. The entity providing such content bears sole responsibility for it. While we may review content to determine whether it violates our policies or applicable laws, and may remove or refuse to display content that we reasonably believe violates such policies or laws, we do not guarantee that all content will be reviewed.
In connection with your use of the Services, we may send you service announcements, administrative messages, and other information. You may opt out of certain communications as permitted within the Services.
While our Services may be accessed via mobile devices, you must not use the Services in any manner that would violate traffic or safety laws and regulations.
About Your UMU Account
Certain Services may require a UMU account. You may create your own UMU account or receive one assigned by an administrator (such as your employer or system administrator). If you use an administrator-assigned UMU account, these Terms of Service apply to your use, and your administrator maintains the ability to access and control your account.
You bear sole responsibility for maintaining the security of your UMU account password and for all activities occurring through your account. We strongly recommend against reusing passwords from other services for your UMU account. If you suspect any unauthorized use of your password or account, you must immediately change your password.
Generative AI Services
Generative AI Services provided by UMU are part of UMU Services, referring to semantic understanding and content generation services based on AI Large Language Models, including but not limited to AI tools, Chatbot, and other services related to "AI" and "intelligence" included in UMU features and services.
When using UMU's Generative AI Services, please ensure that all provided content, input prompts, etc., are either content for which you own the intellectual property rights or have obtained legitimate authorization from rights holders. The content should not violate any applicable laws and regulations, infringe upon others' legitimate rights (including but not limited to copyright, patent rights, trademark rights, and other intellectual property rights and interests), or violate public order and good morals. Additionally, it should not induce AI services to generate content that infringes upon others' legitimate rights or violates public order and good morals.
You commit to complying with applicable laws and regulations while using UMU Generative AI Services. You shall not use this service for any illegal, immoral, improper, or infringing activities, or activities that violate this agreement. You shall not publish, input, output, or disseminate any content that violates this agreement, nor use this service to create, reproduce, publish, or spread false news or other false information. UMU reserves the right to stop generating, transmitting, blocking, or deleting relevant content, and may take measures including but not limited to warnings, restricting or prohibiting the use of some or all functions, blocking accounts up to cancellation, keeping relevant records, and reporting to relevant authorities, depending on the circumstances.
If you provide, publish, or distribute information content edited or produced using UMU Generative AI Services or its output content that legally requires identification, you shall ensure compliance with the identification obligations under applicable laws.
While UMU complies with applicable laws and regulations, respects social ethics and moral principles, and strives to improve the accuracy and reliability of output content, due to the nature of AI Large Language Model-generated content, the output content based on input information does not represent UMU's attitude or viewpoint. You should conduct necessary review and judgment of the output content and be responsible for the behavior and content under your account. UMU will not claim any rights to or assume any responsibility for the output content, nor will it bear any responsibility for your use of the service's output content or violations of this agreement. You acknowledge and agree not to hold UMU responsible for any inaccuracy or inapplicability of the output content.
You understand and agree that the output content is for reference only and should not be used as professional advice, for commercial purposes, or other purposes. In cases that may have significant impact on you or relevant parties (such as legal, medical, financial, insurance scenarios), it is recommended that you consult relevant authoritative institutions. You shall bear all consequences and responsibilities arising from any judgment made based on the output content or subsequent related operations, including risks arising from reliance on the output content's legality, accuracy, completeness, functionality, non-infringement, or fitness for a particular purpose.
Privacy and Copyright Protection
Our Privacy Policy explicates how we handle personal information and protect your privacy in connection with our Services. Your use of our Services constitutes consent to our data practices as described in our Privacy Policy.
We respond to notices of alleged copyright infringement and may terminate accounts of repeat infringers pursuant to the procedures established under the U.S. Digital Millennium Copyright Act.
If you believe your copyright has been infringed, please contact us at support@umu.co. We will investigate the matter and take appropriate action, which may include blocking, removing, or restricting access to the relevant content.
Your Content on Our Services
Certain Services allow you to upload, submit, store, transmit, or receive content. You retain all intellectual property rights in such content.
Our systems automatically analyze your content to provide personalized features, including but not limited to customized search results, content recommendations, and spam detection. This analysis occurs at the point of transmission, reception, or storage.
For detailed information about our content handling practices, please consult our Privacy Policy. We reserve the right to use any feedback or suggestions you provide about our Services without compensation or obligation.
Service Fees
Any free trial or free features and services provided under this service should not be construed as UMU waiving its right to charge fees in the future. UMU reserves the right to notify you of fee standards and payment methods through announcements on the UMU official website and/or specific UMU service applications with 7 days' advance notice. If you continue to use relevant UMU services, you must pay the corresponding fees according to the fee standards published by UMU.
UMU reserves the right to adjust fee standards and payment methods with 7 days' advance notice through announcements without obtaining your prior consent. If you disagree with the adjusted fees, you should immediately stop using the service; continued use will be deemed as your acceptance and you shall pay fees according to the new standards.
You shall bear the internet costs that may arise from using this service, as well as other communication fees, information fees, etc. charged by third parties.
Unless otherwise agreed in writing between UMU and you, UMU's service fees are based on the services or content you purchase, rather than your actual usage. You shall fulfill payment obligations in a timely manner, and such payment obligations are irrevocable. After services or content are activated, fees you have paid are non-refundable. The quantity of services or content you purchase during the relevant subscription period cannot be reduced or unsubscribed.
About the Software of the Service
Software updates and new features will automatically install on your device. Some Services may allow you to configure automatic update settings.
The Services may incorporate open source software components. Any such components are governed by their respective open source licenses, which may expressly override certain provisions of these Terms of Service.
Our Modification and Termination of the Service
We continuously enhance and modify our Services. We reserve the right to add or remove functionalities, or suspend or terminate any Service.
You may discontinue use of the Services at any time. Similarly, we reserve the right to cease providing Services to you or impose additional restrictions on our Services at our discretion.
We prioritize data ownership and accessibility. Except in emergencies, we will provide advance notice of Service suspension and opportunities for data retrieval.
Warranty and Disclaimer
While we strive to provide our Services using advanced technology and professional management, certain aspects of our Services cannot be guaranteed.
Except as expressly provided in these Terms of Service and additional terms, we make no representations or warranties regarding the Services, including but not limited to content, specific features, reliability, availability, or fitness for particular purposes. The Services are provided "as is."
To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied.
Our Liability for the Service
To the extent permitted by applicable law, we shall not be liable for any lost profits, revenues, data, or financial losses, nor for any indirect, special, consequential, exemplary, or punitive damages.
To the extent permitted by applicable law, our total liability for any claims under these Terms of Service, including any implied warranties, shall be limited to the amount you paid to use our Services (or, at our discretion, to restore your access to the Services). In any event, we shall not be liable for any amounts beyond those reasonably paid by you to us.
We shall not be liable for any loss or damage that was reasonably foreseeable at the time of your use of the Services.
Commercial Use of Our Services
If you are using our Services on behalf of a business entity, that entity accepts these Terms of Service. Such entity agrees to defend, indemnify, and hold harmless UMU and its officers, directors, employees, agents, and representatives from and against any claims, actions, proceedings, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to (i) use of our Services or (ii) violation of these Terms of Service.
About these Terms of Service
We reserve the right to modify these Terms of Service and any additional terms applicable to the Services to reflect changes in law or our Services. You are advised to review these Terms of Service periodically.
We will notify you of modifications to these Terms of Service by posting updates on this page. Unless otherwise specified, modifications will become effective 14 days after posting, except for changes addressing new Service features or made for legal compliance, which will become effective immediately. If you do not accept the modified Terms of Service, you must discontinue use of the affected Services.
In the event of any conflict between these Terms of Service and any additional terms, the additional terms shall control with respect to that conflict.
These Terms of Service constitute an agreement between you and us and do not confer any rights upon third parties.
Our failure to enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
If any provision of these Terms of Service is deemed unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of Japan. Any dispute arising between UMU and you that cannot be resolved through good faith negotiations shall be subject to the exclusive jurisdiction of either the Tokyo District Court or the Tokyo Summary Court, as determined by the amount in controversy.
